Minimum Advertised & Accepted Pricing (MAAP) Agreement

This MAAP Agreement (“Agreement”) is entered into by and between Katy Elaine Inc, LLC DBA Caden Lane (“Supplier”) and the undersigned wholesale account (“Retailer”).

1. Purpose

The purpose of this Agreement is to maintain brand integrity, promote fair competition, and ensure consistent pricing of Caden Lane products across all sales channels.

2. Minimum Advertised Price (MAP) Policy

  • Retailer agrees not to advertise Caden Lane products at a price lower than the Supplier’s published Minimum Advertised Price (MAP).

  • “Advertise” includes, but is not limited to, print ads, digital listings, email campaigns, online marketplaces, social media, and other promotional outlets.

  • Strike-through pricing, coupons, rebates, “make an offer,” or hidden discounts that result in a net advertised price below MAP are prohibited.

3. Accepted Resale Pricing

  • Retailers must adhere to the Minimum Advertised Price (MAP) which shall be no less than two times (2×) the Base Wholesale Price.

  • Suggested retail prices (SRP) may be used, but under no circumstances may advertised prices fall below MAP.

4. Exceptions

  • Temporary promotional discounts approved in writing by Supplier.

  • Discontinued or clearance items authorized by Supplier.

5. Enforcement

  • First Violation: Written warning and request for immediate correction.

  • Second Violation: Temporary suspension of wholesale privileges.

  • Third Violation: Termination of wholesale account.

6. Acknowledgement

By placing a wholesale order with Caden Lane, Retailer acknowledges and agrees to abide by this MAAP Agreement.

Wholesale Online Sales Agreement Addendum

This Addendum (“Addendum”) is entered into by and between Caden Lane, LLC (“Supplier”) and the undersigned wholesale account (“Retailer”), and is incorporated into the Wholesale Agreement and MAAP Agreement.

1. Purpose

The purpose of this Addendum is to protect the integrity of the Caden Lane brand, ensure quality customer experience, and maintain authorized online distribution.

2. Online Sales Restriction

  • Retailer is not permitted to sell Caden Lane products on any online platform without prior written approval from Supplier.

  • “Online platform” includes but is not limited to: Retailer’s own website, Amazon, Walmart Marketplace, Etsy, eBay, social media shops, Faire Direct, or any third-party online marketplace.

3. Approval Process

  • Retailer must submit a written request to Supplier for approval to sell online.

  • Supplier reserves the right to approve or deny requests at its sole discretion.

  • Approval, if granted, will outline the approved platform(s), conditions of sale, and any additional requirements.

4. Enforcement

  • Unauthorized online sales are considered a material breach of the wholesale relationship.

  • Violations may result in immediate suspension or termination of the wholesale account, and Supplier reserves the right to refuse future orders.

5. Acknowledgement

By placing a wholesale order with Caden Lane, Retailer acknowledges and agrees to abide by this Online Sales Restriction.
